    What does that mean?

    You have PicBasic Pro, and want to trade it for chips?

    Or you want to trade Chips for a copy of PicBasic Pro?

    My impression is that he either wants to sell PBP Pro - (offers taken) - or, swap it for a chip programmer that handles PIC's & EEPROM's that's of near or equal value. That would have to be a reasonably high-end programmer to make for a fair deal for both parties.

    Software License
    In consideration of Licensee's payment of the license fee, which is part of
    the price Licensee paid for this product, and Licensee's agreement to
    abide by the terms and conditions on this page, the Company grants
    Licensee a nonexclusive right to use and display the copy of the
    enclosed software on a single computer at a single location. Licensee
    owns only the enclosed disk on which the software is recorded or fixed,
    and the Company retains all right, title and ownership (including the
    copyright) to the software recorded on the original disk copy and all
    subsequent copies of the software. Licensee may not network the
    software or otherwise use it on more than one computer terminal at the
    same time. Copies may only be made for archival or backup purposes.
    The enclosed software is licensed only to the Licensee and may not be
    transferred to anyone else, nor may copies be given to anyone else. Any
    violation of the terms and conditions of this software license shall result in
    the immediate termination of the license.

    valid license and will not have the right for upgrades.

    Qualification for upgrades:
    You are entitled to purchase an upgrade if you purchased the original software from microEngineering Labs or one of our authorized distributors.

    Our software licenses are not transferable. This means that if you purchase a used copy of our software from an individual, you are not entitled to an upgrade. If you purchase our software on EBAY or a similar auction site, make sure the seller is an authorized distributor of our products. You may check our distributor list to verify a seller.

    When you order an upgrade, we will search our database for a record of the original purchase. If a record cannot be found, this usually means that you purchased from a distributor. You will be asked to provide a copy of the original invoice as proof of purchase.

    and, i feel the original seller will still have a copy of it... and the license right.

    So no gain for someone wanting to do the deal.
